Private right companies are founded on the articles of association base, which are written and signed by all the participants (founders).

Public right companies are founded by regulatory statement of the President of Ukraine, state authority, state authority of the Crimea or local government authority, the foundational order and legal status of which are determined by the Constitution and Laws of Ukraine. 

Legal entities, performing business activity with a view to get a profit and its following division between the participants (business companies), can be created only as business partnerships, which according to the Law of Ukraine are registered in the form of:

  • general partnership;
  • limited partnership;
  • company limited;
  • additional liability partnership;
  • joint stock company;
  • manufacturing cooperative companies.

General partnership is a partnership, the participants of which according to the contract signed by them hold a business activity in the name of the partnership and together have additional (subsidiary) liability for its duties by their all property. A person can be a participant of only one general partnership and can’t in his name or in his interests do any actions the same as the partnership does.

Limited partnership is a partnership in which together with the participants who hold business activities in the name of the partnership and together have additional (subsidiary) liability for the partnership’s duties by all their property, there is one or several participants, who take loss risks associated with partnership’s activities in the range of the investments made by them, but they don’t take part in the partnership’s activities. Limited partnership is subject to a regulation about general partnership.

A company limited is a partnership founded by one or several partnership persons, the statute fund of which is divided into parts, the size of which is determined by the statute. The participants of the partnership are not liable for its duties and take loss risks associated with partnership’s activities in the range of the investments made by them. The partnership participants who didn’t invest in full range, take solidary liability for its duties in the range of uninvested part of each participant’s investment.

An additional liability partnership is a partnership founded by one or several persons, the statute fund of each is divided into parts, the size of which is determined by the statute. The partnership participants have solidary additional (subsidiary) liability for its duties by their property in the range, which is determined by the partnership statute and is equally multiple for each of the participants to his investment. In the case of bankruptcy of one of the participants, his liability for partnership duties is shared between other participants proportionally to their parts in the statute fund of the partnership. An additional liability partnership is subject to a regulation about a company limited.

A joint stock company is a business partnership, the statute fund of which is divided into a certain amount of parts of the same nominal value, the corporative rights of which are certified by shares. A joint stock company is liable for its duties by all its property. The shareholders are not liable for the company’s duties and take loss risks, associated with the company’s activities in the range of the shares value belonging to them.
The shareholders who didn’t pay for shares in full range, in the cases, determined by the statute, are liable for the company’s duties in the range of an unpaid part of the share value belonging to them. A joint stock company holding public share distribution, has to publish an annual statement, a balance sheet, loss and profit information, and other statutory information for public every year.

A manufacturing cooperative company is voluntary union of people on the membership basis for common manufacturing or other business activities, which is based on their personal labour participation and its members’ property share investments unification. Other people’s participation in manufacturing cooperative activity on membership basis can be statutory. Manufacturing cooperative members have subsidiary liability for the cooperative duties in the range and order determined by the company’s statute and law.

For a private company’s registration you must have the following documents and information:

  • Physical persons’ (founders or participants of the company) passports and identification numbers copies;
  • Physical persons’ (officials, like director or chief accountant) passports and identification numbers copies;
  • For a founder who is a legal entity, duly attested copies of statute and registration documents are tendered;
  • For a founder who is a private businessman – physical body, a duly attested copy of a Certificate about State Registration of a private businessman – physical body is tendered;
  • Information about full and short name of a private company;
  • Information about legal address of a private company;
  • Information about kinds of activities of a private company;
  • Information about size and way of the private company’s statute fund forming.

A due date is 15 working days (from the moment of giving the documents and information mentioned above).

The service costs 3,000 hr.


The service includes:

  • reserving the name of the company in the Trade Register of Ukraine;
  • creating all the foundation documents ( statute, record, registration card, company order);
  • notarial services (one founder);
  • state registration and getting the certificate about company’s registration;
  • getting messages from pension fund, employment agency, social insurance fund against accidents at the working place, social insurance fund against temporary invalidity;
  • application and getting a form 4 OPP Certificate from the tax inspectorate;

Registration of a foreign company’s mission in Ukraine

  • a certificate from non-resident bank about an account;
  • a power of attorney for the mission director;
  • a decision about the mission establishment;
